VAT Registration in Saudi Arabia for a New Company (2026)
When must a new company register for VAT? The threshold, the deadline, the effective date, voluntary registration, the details required and the steps on the ZATCA portal.

A new company must complete VAT registration in Saudi Arabia if its taxable supplies passed SAR 375,000 over the last 12 months, or are expected to pass it in the next 12. A new company has no sales history, so the "expected" test is usually the one that applies. The deadline is 30 days from the end of the month in which you crossed the threshold or expected to. You may also register voluntarily from SAR 187,500 of supplies or expenses.
We checked these figures and deadlines against the VAT Implementing Regulations and ZATCA's pages up to 3 November 2026. They apply to a foreign-owned company exactly as to any other. This guide covers registration itself. What comes after is covered by our guides to VAT return filing and e-invoicing.
When must a new company register?

The Implementing Regulations measure the threshold at the end of every month. They set two mandatory cases and one voluntary case. The cases differ in the deadline and in the date registration takes effect, and the second matters most for a new company.
| Case | Condition | When to apply | Registration takes effect |
|---|---|---|---|
| Mandatory: actual sales | Supplies in the 12 months just ended exceed SAR 375,000 | Within 30 days of the end of that month | Start of the month after the month you apply |
| Mandatory: expected sales | Supplies in the next 12 months are expected to exceed SAR 375,000 | Within 30 days of the end of the month the expectation arose | Start of the first month in which the threshold was expected to be exceeded |
| Voluntary | Supplies or expenses of at least SAR 187,500, actual or expected | Any time | With ZATCA's agreement, which may accept an earlier or later date |
Look at the second row. The expected case takes effect from the start of the month the expectation arose. So applying late does not postpone your VAT liability. An illustration: a new company expects SAR 600,000 of sales over the next year at the end of March. It has until 30 April to apply, its registration takes effect on 1 March, and it must charge VAT on its invoices from that date.
One exception: a person whose supplies exceed the threshold but are all zero-rated is excluded from mandatory registration and may register voluntarily. The regulations also let ZATCA register you without an application if you fail to apply. The penalty in ZATCA's violation fines table is SAR 10,000 for failing to apply for registration.
Should you register voluntarily before you reach the threshold?
Early registration helps if you have large costs before your first sale, because you can deduct input VAT. The regulations allow deduction of VAT on services bought in the six months before the effective date of registration. VAT on goods bought before registration is deductible under conditions, including that the goods were not fully used or sold on before registration.
| What early registration gains you | What it commits you to |
|---|---|
| Deduction of input VAT on set-up, equipment and eligible services | Charging 15% on your sales invoices from the effective date |
| A stronger position with VAT-registered business customers who recover the tax | Filing a return for every tax period, even with no sales |
| Clean books and invoices from day one | Meeting e-invoicing rules and keeping records |
This is our view, not the text of the law. Voluntary registration tends to pay off for a company that sells to businesses that recover VAT and has large set-up costs. It helps less for a company that sells only to consumers, because VAT is added to its prices and the buyer cannot recover it.
Which documents and details does registration need?
ZATCA's service page lists "None" under required documents. Yet the form asks for details that the regulations set as a minimum. Many popular guides list documents the page does not require, so rely on the regulations:
- The official name of the business.
- The address of the place of business.
- An email address.
- Your existing ZATCA electronic ID number, if you have one.
- The commercial registration number.
- The value of annual supplies or expenses.
- The effective date you request, if it differs from the standard one.
ZATCA may ask for documents that prove the details, and must give you at least 20 days to provide them. It may refuse an application it cannot verify. So we suggest keeping whatever supports your sales estimate, such as a contract, a quotation or an operating budget, along with your articles of association and National Address. That is a suggestion, not an official requirement.
What are the steps on the ZATCA portal?
Registration is online, with no branch visit, according to ZATCA's VAT Registration for Businesses page. The steps are:

- Log in to ZATCA's website with the business's beneficiary account.
- Go to "General services".
- Choose "VAT registration".
- Fill in the registration form with the details above.
- Wait for a notification by SMS and email when the application is complete.
When ZATCA accepts the application, it issues a registration certificate that shows your Tax Identification Number and the effective date. Three duties follow. Display the certificate visibly at your main place of business and branches. Tell ZATCA of any change in your details within 20 days. And apply VAT from the effective date, not from the date of the notice.
What must you do after you get your VAT number?
Registration starts your obligations; it does not finish them. Here are the first steps:
- Issue invoices from a compliant e-invoicing system. Phase 1 (generation and storage) applies to a registered business. ZATCA notifies Phase 2 waves at least six months ahead. It set Wave 25 by revenue in 2022 to 2025, so by that criterion it does not reach a company that registered recently.
- Show your VAT number and 15% VAT on your invoices.
- Diarise your return deadlines. The period is three months for most businesses, and you file and pay by the last day of the following month. Our return filing guide explains the details.
- Keep your records for the periods set out in the same guide.
If you are forming the company now, the ZATCA steps are part of the full formation journey, which starts at MISA.
Which registration mistakes are common in new companies?
- Waiting for actual sales although you expect to pass the threshold. Expected-sales registration takes effect from the first month the expectation arose, not from the day you apply.
- Issuing a tax invoice before registering. ZATCA's table sets the maximum fine for a tax invoice issued by a non-registered person at SAR 100,000.
- Measuring the threshold on profit. The test is the value of taxable supplies, not net profit.
- Counting the sale of a capital asset. The regulations exclude the value of capital assets used in the business, under conditions, including that they were not held to earn rent.
- Forgetting to update your details. Any change must be reported to ZATCA within 20 days.
- Missing the first return. A return is due for every period after registration.
How does Manzomia help with registration?
We are a foreign-owned, MISA-licensed company in Riyadh, and we have been through ZATCA's files ourselves. Our tax and VAT services start from SAR 1,200. The Registration package covers a review of whether you must register, the ZATCA registration itself, and a review of your invoice template.
We start with one question: will you pass the threshold, and when? The answer sets your deadline and your effective date, which many new companies lose track of.
What is your next step?
Send us your activity, your sales estimate for the first 12 months and your set-up costs through our contact page. We will tell you whether VAT applies now, what your effective date would be, and whether voluntary registration makes sense.
