How to Start a Business in Saudi Arabia as a Foreigner (2026)
A step-by-step guide for foreign founders: MISA registration, CR, National Address, ZATCA, GOSI, Qiwa, bank and residency, then the launch that wins your first customer.

Saudi Arabia lets foreigners own companies outright in many activities, but most guides stop at the licence. This guide shows how to start a business in Saudi Arabia as a foreigner from start to finish: MISA registration, the Commercial Registration (CR), the government files, the bank, residency and the launch that brings your first customer. We walked this path ourselves as a foreign-owned company in Riyadh, and added the 2025 and 2026 rule changes, a timeline and a checklist.

What are the steps to start a business in Saudi Arabia as a foreigner?
There are eight steps, and the order matters because each one unlocks the next. You cannot issue a CR before MISA confirms your registration, and you cannot open most government files before the CR exists.
- Choose the activity and the structure, and check that your activity is open to foreign ownership.
- Register as a foreign investor with MISA (still widely called "the MISA licence").
- Reserve the trade name, agree the articles of association and issue the CR.
- Register the National Address with Saudi Post (SPL).
- Complete the government files: ZATCA, GOSI, Qiwa, Muqeem and the Chamber of Commerce.
- Open a corporate bank account, link it to the CR and get your activity licences.
- Settle residency for yourself and your team, through work visas or Premium Residency.
- Launch: brand, bilingual website, social accounts, WhatsApp Business and Google Maps.
Which company structure should a foreign founder choose?
For most new ventures, a limited liability company (LLC) is the default. It can have one shareholder or several, and those shareholders can be people or companies. A branch suits an existing foreign company that wants to trade in Saudi Arabia under its own name, while a simplified joint-stock company suits start-ups that plan to raise investment.
| Structure | Best for | Watch out for |
|---|---|---|
| Limited liability company (LLC) | Most new businesses, with one or more shareholders | Articles of association must set shares and management clearly |
| Branch of a foreign company | An established company abroad entering the Kingdom | The parent company stands behind the branch |
| Simplified joint-stock company | Start-ups expecting investors or share classes | More governance work as investors join |
Check two things before you choose. First, whether your activity allows full foreign ownership: many do, and some have specific conditions. Second, whether it appears on MISA's list of excluded activities, which needs MISA's approval first. Capital and premises requirements depend on the activity, so confirm them for your exact case. Our company formation and CR service starts with exactly this comparison.
What is the MISA licence now, and what do you need for it?
Saudi Arabia's updated Investment Law replaced the old foreign investor licence with investor registration. Once MISA notifies you that registration is complete, you can issue your CR and apply for licences from other authorities. A separate guide covers this step in depth, so here is only what matters for the wider journey:
- Documents: a passport for each shareholder, the parent company's registration and articles if a company is investing, financial statements where the case requires them, and a description of the activity you plan to run.
- Attestation and translation: foreign documents usually need attestation and certified translation. What applies depends on your country and activity.
- After registration: the implementing regulations ask registered investors to update the declarations they signed every year.
If you would rather hand this step over, see our MISA investment licence service.
How do you get your Commercial Registration and articles of association?
You form the company and issue the CR online through the Saudi Business Center platform, linked to the Ministry of Commerce. The work is in four parts:
- Reserve the trade name. Since 3 April 2025, names can be Arabic, Arabized, English, or letters and numbers. A name similar to an existing business is refused even if the activity is different.
- Choose CR activities from the official classification, matched to what you will actually sell.
- Agree the articles of association. They set out shares, management and signing authority. The platform offers templates, including one for a single-person LLC.
- Issue the CR. Its issue date starts several clocks, listed below.
What changed with the new CR law?
The new Commercial Register and Trade Names laws took effect on 3 April 2025. For a new company this means:
- One CR for the whole Kingdom, covering all activities. Sub-registries are gone.
- No renewal, but an annual confirmation. You confirm your CR data electronically every 12 months from the issue date.
- Suspension, then removal. If you miss the confirmation by 90 days, the CR and its linked services are suspended. After a full year of suspension, it is struck off automatically.
- A linked bank account is now mandatory.
- Activity licences within 90 days of registration, unless the licensing authority allows longer.
Warning: wrong CR activities are a common cause of later amendments. Pick them for what you will really sell, not for what sounds broad.
What is the National Address, and when do you register it?
The National Address is Saudi Post's standard address format, and SPL states that registering one is mandatory for all individuals and institutions. You can register it while your CR is being issued on the Saudi Business Center platform.
It has six parts: a 4-digit building number, the street, the district, a 5-digit postal code, a 4-digit additional code and the city. Write it the same way on your CR, invoices, website and Google profile. That consistency helps customers, banks and Google trust your details.
Which government registrations come after the CR?
The Ministry of Commerce links a new CR to files with the Ministry of Human Resources, ZATCA, GOSI, Saudi Post and the Chamber of Commerce. You still need to complete each file yourself.

ZATCA: income tax, zakat and VAT
- Income tax: ZATCA's current guidelines (May 2026 editions) set a 20% rate on the share of profits owned by non-Saudi partners in a resident company. Register before the end of your first fiscal year, and keep your books and accounts in Arabic.
- VAT at 15%: registration is mandatory once taxable supplies exceed SAR 375,000 over the past 12 months, or are expected to over the next 12. From SAR 187,500 of supplies or expenses you may register voluntarily, which lets you deduct VAT on your costs.
- E-invoicing (FATOORAH): VAT invoices must come from a compliant electronic solution. ZATCA enforced phase one on 4 December 2021 and has rolled out phase two, integration with its systems, in waves since 1 January 2023.
Our tax and VAT service checks whether you must register and prepares your returns for your approval.
GOSI: social insurance
Register as an employer and enrol every worker. The occupational hazards branch covers Saudi and non-Saudi employees alike, so your foreign staff are included from their first day.
Qiwa: your establishment file and contracts
Qiwa is the Ministry of Human Resources platform for your establishment file, work visas and employment contracts. From 15 April 2026, Nitaqat counts only Saudi employees whose contracts are documented on Qiwa. Document every contract there from the start.
Muqeem: residency for your foreign staff
Muqeem is the Passports platform where companies issue and renew residency permits (iqamas) and exit and re-entry visas for foreign employees, without visiting a passports office.
How do you open and link a corporate bank account?
Open the account once the CR is issued, then link it to the CR, because the new CR law makes a bank account tied to the business mandatory. Each bank sets its own document list and may ask the authorised signatory to attend in person, so ask your chosen bank for its current list first.
Expect to show the CR, the articles of association, the National Address and the signatories' IDs. A complete, consistent file keeps this step short: the same names, the same address and the same activities on every document. We prepare these documents with you, and the account itself is opened directly with the bank.
Do you need Premium Residency, or is a company iqama enough?
You do not need Premium Residency to own a company. Without it, a founder who lives in Saudi Arabia usually holds a work residency (iqama) through their own company, using Qiwa for the work visa and Muqeem for the iqama.
Premium Residency is a separate route. The Premium Residency Center offers seven products: Special Talent, Gifted, Investor, Entrepreneur, Real Estate Owner, Limited Duration and Unlimited Duration. Their benefits include living in Saudi Arabia with your family, doing business, owning property and inviting relatives.
The Entrepreneur Residency is aimed at founders of innovative, technology-driven start-ups. During the Biban Forum in November 2025, the centre granted it to more than 100 entrepreneurs from over 20 nationalities. Conditions change from time to time, so check the current criteria before applying, or start with our Premium Residency assessment.
Can a foreigner already living in Saudi Arabia own a company?
Yes, through the same investor route. A resident who is not Saudi still starts with MISA registration and then the CR, and Premium Residency holders also have the right to do business.
What you must never do is run a business through a Saudi citizen's name or CR. That is commercial concealment (tasattur), and the penalties can include prison, heavy fines and closure of the business. The legal route takes a few more steps, and it protects everything you build.
How do you go from CR to your first customer?
A CR lets you trade, but it does not bring customers. The last stretch is your brand, a bilingual website, social and WhatsApp accounts, and a Google Maps listing that matches your CR.

- Build a bilingual brand. One logo system that works in Arabic and English. Register the trademark with the Saudi Authority for Intellectual Property, and leave national symbols out, because their use is regulated.
- Launch an Arabic-first website. Mobile-first, with WhatsApp buttons and a clear quote or booking form. Hosting inside the Kingdom helps with the Personal Data Protection Law and with speed for Saudi visitors. Our bilingual website design starts from SAR 4,900.
- Open social accounts and WhatsApp Business under the same name as your CR.
- Get on Google Maps. Use your exact CR name, pin your National Address and add Ramadan hours. Our guide on getting your business on Google Maps in Riyadh walks through it.
- Invoice correctly from day one. If you are VAT-registered, issue invoices from a compliant e-invoicing solution from your first sale.
What does the timeline look like from idea to first customer?
The timeline depends on your activity, your documents and how complete the file is, so treat it as a sequence of gates rather than fixed dates. A few clocks are fixed by law, and they are marked below.
| Phase | What happens | You move on when |
|---|---|---|
| 1. Plan | Activity, structure, shareholders and the document list | You have a written plan with costs |
| 2. Investor registration | MISA application with attested documents | MISA confirms your registration |
| 3. Company and CR | Trade name, activities, articles, CR issue | The CR is issued (day 0 for the 90-day licence clock) |
| 4. Address and files | National Address, ZATCA, GOSI, Qiwa, Muqeem, Chamber | Every file is active |
| 5. Bank and licences | Bank account linked to the CR, activity licences | Licences issued within 90 days of the CR |
| 6. People and residency | Work visas, iqamas or Premium Residency | You and your team can live and work legally |
| 7. Launch | Brand, website, social, WhatsApp, Google Maps | Your first customer pays a correct invoice |
| Ongoing | CR confirmation, investor declaration update, VAT returns, Qiwa contracts | Every 12 months, or on each filing date |

What delays foreign founders most?
We went through this setup ourselves as a foreign-owned company. These are the steps that usually cause delays, and how to avoid them:
- Unattested or untranslated foreign documents. The file stalls until they are redone.
- Missing items in the MISA application. A full review before submitting avoids rounds of comments.
- CR activities that do not match the business. Fixing them later means amendments.
- Scattered registrations after the CR. Without one checklist, a file such as GOSI or Qiwa gets forgotten until a visa is needed.
- A missed annual CR confirmation. After 90 days the CR is suspended, and services stop with it.
- Contracts outside Qiwa. Since April 2026 they no longer count toward Nitaqat.
- Treating launch as a separate project. Founders end up managing five providers for what one team could deliver.
Can one team handle the whole journey for you?
Yes, and that is why Manzomia exists. We are a foreign-owned, MISA-licensed company in Riyadh, and we walked this path ourselves: the MISA licence, company formation and building a digital presence. Our founder has more than nine years of building web and mobile products, and apps he launched reached more than 50 million users. We also built Manzomia, our Arabic-first cloud system, which is live at manzomia.com.
Our Launch in KSA package covers the MISA licence, company formation and CR, brand identity, a bilingual website and social account setup, from SAR 24,900. Single services start at SAR 1,900 for company formation and CR, SAR 4,900 for the MISA licence and SAR 1,500 for a Premium Residency assessment. Prices exclude 15% VAT, and government fees are separate and itemised before we start.

Frequently asked questions
Can a foreigner own 100% of a company in Saudi Arabia?
Many activities allow full foreign ownership, while some have specific conditions. Activities on MISA's excluded list need MISA's approval first, so check your exact activity before you commit.
Do I need to be in Saudi Arabia to set up the company?
Many steps can be done remotely through a power of attorney or an authorisation. Some procedures may need you or an authorised representative in person, and a bank may ask the signatory to attend.
Does the Saudi CR still need renewing every year?
No. Since 3 April 2025 the CR has no expiry date. You confirm its data electronically every 12 months, and it is suspended if you are more than 90 days late.
When does a new company have to register for VAT?
When taxable supplies exceed SAR 375,000 over the past 12 months, or are expected to over the next 12. You may register voluntarily from SAR 187,500 of supplies or expenses.
How much does it cost to start a business in Saudi Arabia as a foreigner?
Government fees depend on the activity and structure, so get them itemised for your case. Manzomia's Launch in KSA package starts at SAR 24,900, and company formation alone at SAR 1,900, excluding VAT and government fees.
