Search for MISA license requirements and many guides still list the old sector licenses and capital tables. Since Saudi Arabia's updated Investment Law took effect in 2025, the "MISA license" is officially an investment registration with the Ministry of Investment (MISA).

The short answer: a foreign company applies online with its home commercial register and last year's financial statements, legalised for Saudi use, plus any activity documents. MISA responds within 10 working days of a complete file. Below: who needs it, the tracks, documents, attestation, steps, timelines and the CR.

What is the MISA license, and what is it called now?

The MISA license is the approval a foreign investor needs from Saudi Arabia's Ministry of Investment before investing in the Kingdom. Under the updated Investment Law, issued by Royal Decree M/19 dated 16/01/1446H, it is now an investment registration rather than a discretionary license. Banks, investors and even some government pages still say "license", so both words point to the same step.

The MISA registration path in 8 steps, based on MISA's 2026 Investor Guide and Implementing Regulations

The Cabinet approved the updated law on 11 August 2024, and it took effect 180 days after it was published in the Official Gazette, replacing the Foreign Investment Law of 1421H. MISA's own FAQ confirms that registration replaced the old licensing procedures, and the Implementing Regulations published by MISA in 2025 set out the registration rules.

What changed in practice:

  • Freedom to invest is the default. Restrictions apply only to activities on a published list.
  • One registration, not a menu of licenses. The old services, industrial and commercial license types no longer apply.
  • Ongoing duties. A registered investor files an annual update of the declarations signed at registration.

One detail worth knowing: the registration certificate is issued in Arabic only. If your bank or head office needs English, MISA's FAQ says to use an accredited translation office.

Who needs MISA investment registration?

Any foreign investor who wants to own all or part of a business in Saudi Arabia must register with MISA before investing. That covers a foreign company opening a Saudi subsidiary or branch, and a foreign shareholder joining a Saudi company.

According to MISA, registration is issued to:

  • Foreign companies (legal entities). This is the main route for most investors.
  • Individuals with Saudi Premium Residency. They are exempt from submitting a home commercial register and financial statements. See our Saudi Premium Residency service if this route interests you.

Two groups usually don't need it. Saudi nationals investing on their own don't register with MISA. GCC investors are treated as local investors, unless foreign investors sit in their ownership chain, according to MISA's FAQ.

If you are an individual without Premium Residency, the usual route is to invest through a company you own. We confirm the right route for your ownership structure in the consultation.

What MISA license types and activities exist in 2026?

The old menu of sector licenses no longer applies. Today there is one investment registration with two tracks: available activities, which most investors use, and restricted activities, which need an extra approval. You choose your activities from the ISIC4 classification.

TrackWhat it meansWhat it adds to your file
Available activitiesOpen to foreign investment once you meet the registration requirementsThe standard MISA review
Restricted activitiesAllowed once you meet specific conditions; MISA refers the request to the competent authorityAn extra approval, also needed before ownership changes
Prohibited activitiesListed by MISA's Examination Committee in the Investor GuideNot open to foreign investors

Three rules to check early:

  1. Professional activities are registered separately. MISA's FAQ says they can't be merged with non-service activities in one registration.
  2. Capital and Saudi participation depend on the activity. Section 05.00 of MISA's 2026 Investor Guide sets them where they apply. We don't quote figures here, because they are activity-specific and change; yours are confirmed in the consultation.
  3. Later changes are services too. Annual updates, ownership changes, activity changes and voluntary cancellation each run through MISA, and the 2026 guide lists most of them with no fee.

The legal form, such as a limited liability company or a branch of a foreign company, is fixed when you form the company. Decide it early anyway, because it shapes the documents you prepare.

What documents does MISA require?

For a foreign company, MISA's 2026 Investor Guide lists four items: the parent's commercial register, its last fiscal year's financial statements, an ID copy for any GCC partner not registered in Absher, and documents specific to your activity. The register and the financial statements must be legalised for Saudi use, and the register also needs a certified translation.

DocumentWhat MISA asks forWhat to watch
1. Foreign commercial registerA copy certified for Saudi use, with a certified translationThe company name and number must match on every document
2. Financial statementsThe last fiscal year, authenticatedFinish the authentication before you upload
3. GCC partner IDOnly if that partner isn't registered in AbsherNatural-person GCC partners only
4. Activity documentsWhatever Section 05.00 of the guide lists for your activityRestricted activities may need more

The September 2026 edition of the guide adds one more rule. If the parent company has a different nationality from the applying company, attach the parent's registration as well.

When we start a file, we also ask for each shareholder's passport and a clear description of the activity you plan to run in the Kingdom. The final list for your activity appears in MISA's portal when you apply, so treat any checklist, including this one, as a starting point.

How does attestation work: embassy or apostille?

Attestation proves to Saudi authorities that a foreign document is genuine. MISA's 2026 guide still says documents should be certified by the Saudi Embassy. Since 7 December 2022, however, Saudi Arabia has been a party to the Hague Apostille Convention, so documents from other member countries can carry an apostille (HCCH announcement).

Two attestation routes for MISA documents: apostille countries and non-apostille countries
Which route you take depends on where your documents were issued

The usual chain looks like this:

  1. Certify at home. Have the document notarised or certified where your country requires it.
  2. Legalise it.
    • If your country is an Apostille member, get the apostille from its competent authority.
    • If it isn't, go through your foreign ministry, then the Saudi embassy or consulate.
  3. Translate it. Use an accredited translation office for the Arabic version.

Warning: MISA's guide still uses the embassy wording. Before you pay for attestation, confirm which route MISA accepts for your country and each document. We confirm this in the consultation.

How do you apply on the official MISA platform?

The application is fully online through MISA's e-services portal, and MISA says no office visit is needed. Most of the work happens before you log in.

Only the MISA review has a fixed limit; document preparation abroad usually decides your real timeline
  1. Pick your activities and check the track. Match your business to ISIC4 activities and check the excluded list in the Investor Guide.
  2. Prepare and attest the documents as described above.
  3. Create the investor account. The sign-up asks for an ID number, company, sector and contact details, then a username and password.
  4. Complete the application. Enter the investor and ownership details and the activities, then sign the declarations the Implementing Regulations require.
  5. Upload the documents and answer requests. If MISA asks for more, you get at least 15 working days. Miss that deadline and the application is deemed cancelled.
  6. Wait for the decision. MISA must notify you within 10 working days of all requirements being met. Restricted activities go to the competent authority first.
  7. Pay the fee when invoiced. MISA sets it after approval. Pay within 15 working days of the invoice, or the registration becomes void.
  8. Receive the certificate. It is in Arabic; order an accredited English translation if you need one.

After registration, the annual update starts. MISA notifies you 30 working days before the date, you can file up to 60 working days early, and the Ministry replies within 5 working days. A registration that lapses can be reactivated within three years.

How long does the MISA license take, and what causes delays?

MISA's official review is up to 10 working days, but that clock only starts once your file is complete. In practice, preparing and attesting documents abroad usually takes longer than the review itself. That part depends on your country, so we confirm your timeline in the consultation.

Avoidable causes of delay to check before you submit:

  • The company name or number differs between the register, the financial statements and the translation.
  • The financial statements aren't for the latest fiscal year.
  • The parent company has a different nationality, and its registration is missing.
  • A professional activity is mixed with non-service activities.
  • A restricted activity isn't spotted until MISA refers it.
  • An invoice goes unpaid past 15 working days and the registration is voided.

We went through this ourselves. Manzomia is a foreign-owned company that obtained its MISA license and built its presence in Riyadh, so we know the questions to expect and the steps that usually cause delays. That is why our MISA investment license service reviews the whole file before anything is submitted.

What is the difference between the MISA license and the CR?

MISA registration gives a foreign investor the right to invest; the Commercial Registration (CR) from the Ministry of Commerce creates the company that actually trades. You need both, in that order. MISA's updated law page says that once registration is complete, the investor can issue a CR and get licenses from other authorities.

The Ministry of Commerce's company formation service under an investment license asks for an investment certificate valid for at least 30 days. Keep an eye on that date if your CR step slips.

After the CR come the articles of association, National Address, core registrations and a bank account. We cover those in our guide to starting a business in Saudi Arabia as a foreigner. Our company formation and CR service and the Launch in KSA package show how the steps connect.

What does a MISA license cost?

The government fee isn't a fixed public number. MISA's 2026 Investor Guide says the Ministry sets the registration fee after approving the application, so we confirm it for your activity in the consultation.

Manzomia's own MISA license service starts at SAR 4,900, one-time. Government fees are paid directly to the authorities and are itemised separately before you start. There are three ways to work with us:

  • License only: consultation, file preparation and submission, and follow-up until issue.
  • Market entry: the license, plus CR and articles of association, core registrations, bank account coordination and a dedicated account manager.
  • Launch in KSA: everything in Market entry, plus a bilingual website, brand identity and a subscription to Manzomia, our cloud system.

Start with the documents, because they decide your timeline. Book a free first consultation by video, in English or Arabic, and we will send a written plan with your steps, document list and costs. If you already know your activity, request a quote instead. Once you are registered, our guide to business consultancy in Riyadh shows how to build a 90-day growth plan.

Manzomia was founded by Muhammad Ajmal Shah, who spent more than nine years building web and mobile products; apps he launched reached more than 50 million users. We also run our own Arabic cloud system, live at manzomia.com, so the team that handles your license can also build what comes after it.
